DISTANCE SALES AGREEMENT
Article 1 – Parties to the Agreement:

End Consumer (CUSTOMER)
Article 2 – Subject of the Agreement:
2.1. The Buyer acknowledges, declares, and undertakes that they are informed of the essential characteristics, sale price, payment method, delivery terms, and all preliminary information regarding the goods/services subject to sale, and their right of withdrawal; that they confirmed this information electronically, and subsequently placed an order for the goods/services under the provisions of this contract.
Furthermore, the person to whom the invoice will be issued is also considered a party to this agreement. The Buyer is responsible for providing accurate and complete information. If any damage or liability arises due to incomplete or incorrect information, the Buyer accepts this responsibility in advance.
2.2. The preliminary information on the payment page of www.themidground.co and the invoice constitute an integral part of this agreement.
Article 3 – Date of Agreement and Force Majeure:
3.1. This agreement, previously signed in duplicate by the Seller, is accepted by the Buyer on the date of ............. and a copy will be sent to the Buyer’s email address.
Events that were not in existence or foreseeable at the date of the agreement and that develop beyond the control of the parties, making it impossible for one or both parties to fulfill their obligations under the contract partially or completely or on time, shall be considered force majeure. The affected party must immediately notify the other party in writing.
3.2. Force majeure includes, but is not limited to: natural disasters, war, terrorism, uprisings, changes in legislation, seizure, strike, lockout, significant failure in production or communication systems.
If a force majeure event continues for more than 30 (thirty) days, each party has the right to unilaterally terminate the agreement.
Article 4 – Delivery Costs and Performance:
4.1. Delivery costs belong to the Buyer. If the Seller declares on the website that they will cover delivery costs for purchases over a certain amount, delivery shall be at the Seller’s expense.
4.2. Delivery shall be made as soon as possible after the product is in stock and payment has been credited to the Seller. The Seller shall deliver the product within 30 (thirty) days, with the right to a 10 (ten) day extension upon written notice. If the payment is not made or canceled by the bank, the Seller is released from the delivery obligation.
Article 5 – Seller’s Rights and Obligations:
5.1. The Seller is responsible for delivering the goods/services as described in the order, complete, undamaged, and with relevant warranty documents and manuals if applicable.
If the product is to be delivered to another person/organization, the Seller is not liable if that person refuses delivery.
The Seller shall refund the payment and return any documents within 10 (ten) days after receiving the returned goods within 14 (fourteen) days from the notice of withdrawal.
5.2. If the product/service becomes impossible to deliver, the Seller shall notify the Buyer before the delivery period ends. Any amounts paid shall be refunded within 10 (ten) days.
5.3. The Buyer must be at least 18 years old. The Seller will rely on the age declared by the Buyer and will not be held responsible for incorrect declarations.
If payment is not made within 3 (three) days of order placement, the Seller may cancel the sale unilaterally.
Article 6 – Buyer’s Rights and Obligations:
6.1. The Buyer agrees to fulfill the obligations under this agreement unless prevented by force majeure.
6.2. The Buyer must inspect the product before accepting it from the courier and refuse delivery if the product is damaged. After acceptance, the product is considered undamaged.
6.3. If unauthorized use of the Buyer’s credit card causes the bank to not pay the Seller, the Buyer must return the product within 3 (three) days, with shipping costs borne by the Buyer.
6.4. The Buyer acknowledges reading and confirming all preliminary information on www.themidground.co and is informed of complaint procedures.
Article 7 – Characteristics of the Product/Service:
7.1. Product type, brand, model, quantity, color, and price including taxes are as described on the product page of www.themidground.co and on the invoice.
Article 8 – Price:
8.1. The price is as stated in the invoice sent with the order confirmation email.
Article 9 – Order, Payment, Shipment:
9.1. For installment payments, the Buyer is bound by the terms with their bank.
9.2. For wire transfers, the transaction date is when payment is received. The order number must be noted.
9.3. Payment is processed via the selected bank’s virtual POS. Order confirmation is sent before shipment.
9.4. In case of issues, the Buyer will be notified via phone or email.
9.5. If a product is unavailable or out of stock, the Buyer may choose an alternative, wait, or cancel.
9.6. Shipment occurs within 7 business days. With notice, this may be extended by 5 business days.
9.7. In remote areas, delivery may require pickup from a courier branch.
9.8. The Seller is not responsible for errors in delivery address or absence of the recipient.
9.9. Damaged packages must be refused and documented by the courier. If accepted, the package is considered delivered properly.
Article 10 – Returns and Right of Withdrawal:
10.1. The Buyer may withdraw within 14 days without penalty, by notifying the Seller and returning the invoice.
10.2. The Buyer agrees to not damage the product or its packaging and to return the original invoice.
10.3. Products made to the Buyer's specifications are not eligible for withdrawal.
10.4. If the value of the product is diminished due to the Buyer’s fault, the Buyer shall compensate the Seller.
10.5. If the product is damaged or used, it will not be accepted for return.
10.6. Refunds will only be made after returned product is received and inspected. Installment payments may be refunded in installments by the bank.
Refunds cannot be made in cash.
Article 11 – Warranty:
11.1. Warranty periods are listed on the product page. Warranty is provided by the supplier.
The Seller is only liable for warranties under Consumer Law (No. 4077). For commercial transactions, the Turkish Commercial Code applies.
Article 12 – Confidentiality:
12.1. www.themidground.co will not share your information with third parties. Data may only be disclosed in legal investigations.
Article 13 – Jurisdiction:
13.1. For disputes, Consumer Arbitration Committees or Consumer Courts (or Civil Courts of First Instance, where applicable) are authorized.
